MEMORANDUM OF ASSOCIATION AND RULES-II
 
     
  10.
Where a member of the Council (or any of its Committee) becomes a member by reason of the office or appointment he holds, his membership of the Council (or of its Committees) shall terminate when he ceases to hold that office or appointment, and in his vacancy, his successor in office or appointment shall automatically be a member of the Council for the unexpired period of the term of membership.
 
  11.
The Council and all its committees shall function notwithstanding that any person who is entitled to be a member by reason of his office is not a member of the Council (or its committees) for the time being and notwithstanding any other vacancy, whether by non-appointment or otherwise; and no act or proceeding of the Council (or its committees) shall be invalidated merely by reason of the happening of any of the above events or of any defect in the appointment of any of its members.
 
OFFICERS AND AUTHORITIES OF THE COUNCIL
  12.
The officers of the Council shall be the Chairman, the Member-Secretary and such other employees of the Council who may be so designated by the Council.
 
  13.
The Chairman of the Council shall be honorary. The term of office of the first Chairman shall be five years and three years in all subsequent cases. The outgoing chairman shall be eligible for re-employment. But no Chairman shall be appointed for more than two consecutive terms.
 
Provided that notwithstanding the expiry of the period of three years the Chairman shall continue in the office until his successor is appointed and enters upon his office.(Approved by Ministry of Education letter No. F. 9-23/74-PRI, dated 17-5-1974)
  14.
The first Member-Secretary of the Council shall be appointed by the Government of India and shall hold office till such times as Member-Secretary has been appointed by the Council with the approval of the Central Government. The remuneration, terms and conditions of service, powers and duties of the Member-Secretary shall be as specified in the regulations.
 
  15. Authorities: The following shall be the authorities of the Council:  
   
(a)
The Administrative Committee; (This Committee is now the Policy, Planning and Administration Committee.)
(b)
The Research Projects Committee; (This Committee is now the Research Committee.)
(c)
Such other authorities as may be constituted by the Council.
 

PROCEEDINGS OF THE COUNCIL

16. (a) The Annual General Meeting of the Council shall be held at such time, date and place as may be determined by the Chairman.
(b) The Chairman may convene an ordinary general meeting of the Council whenever he think fit. However, the Council shall hold at least two ordinary general meetings every year.
(c) Ten members of the Council may, by a letter addressed to the Member-Secretary, requisition a special meeting of the Council. On receipt of such requisition, the Member-Secretary shall convene a meeting.
17. Except as otherwise provided in these Rules, all meetings of the Council shall be called by notice under the signature of the Member-Secretary or any other officer authorised in this behalf by the Chairman.
18. Every notice calling a meeting of the Council shall state the date, time and place at which such meeting will be held and shall be served upon every member of the Council not less than fifteen clear days before the day appointed for annual or ordinary General Meeting and seven days for a
special meeting.
19. If the Chairman is not present at a meeting of the Council. the members present may elect a Chairman for the meeting.
20. Ten members of the Council present in person shall form a quorum at every meeting of the Council.
21. All disputed questions at the meetings of the Council shall be determined by vote. In case of an equality of votes the  Chairman shall have a casting vote.
22. The Member-Secretary shall keep a record of the proceedings of the meetings of the Council and a copy thereof shall be sent to the Government of India.
23. Regulations  (a) With the previous approval of the Government of India, the Council shall have power to frame and amend Regulations, not inconsistent with the Memorandum of Association and these Rules, for the administration and management of its affairs.
(b) Without prejudice to the generality of the foregoing  provision, such regulations may provide for the following  matters :

(i) The preparation and sanction of budget estimates, the sanctioning of expenditure, making and execution of Contracts, the investment of the funds of the Council and the sale or alteration of such investment and accounts and audit;

(ii) Powers, functions and conduct of business of such committees or advisory panels as may be constituted from time to time;

(iii) the procedure, terms and tenure of appointments, emoluments, allowances, rules of discipline and other conditions of service of the officers and staff of the Council;

Provided that the prior approval of the Government of India shall be obtained for the creation of all posts with a salary of Rs. 2,500 per month or more and for making appointments to such posts;

(iv) terms and conditions governing scholarships, fellowships and deputations, grants-in-aid, research schemes and projects, and establishment of data library and documentation centres; and

(v) such other matters as may be necessary for the furtherance of the objectives and proper administration of the affairs of the Council.

  24.
Subject to the Memorandum of Association, Rules and Regulations, the Council shall have the power:
 
   
(a)
To appoint all categories of officers and staff for conducting the affairs of the Council, to fix the amount of their remuneration, subject to the budget provision, and to define their duties;
(b)
To enter into arrangements with the Government of India, State Governments and other public or private organisation or individuals for furtherance of its objectives, for implementation of its programmes and for securing and accepting endowments, grants-in-aid, donations or gifts on mutually agreed terms and conditions:
(c)
To acquire by gift, purchase, lease or otherwise any property, movable or immovable, which may be necessary or convenient for the purposes of the Council and to construct, alter and maintain any building or buildings for the purposes of the Council;
(d)
To draw, make, accept, endorse, discount and negotiate Government of India and other promissory notes, bills of exchange, cheques or other negotiable instruments;
(e)
To invest the funds of the Council in such securities or in such manner as may, from time to time be determined by the Council and, from time to time, to sell or transfer such investments;
(f)
To take over and acquire by purchase, gift or otherwise from Government and other public or private individuals movable and immovable properties or other funds together with any attendant obligations and engagements not inconsistent with the objects of the Council;
(g)
To sell, transfer, lease or otherwise dispose of any movable property of the Council;
 
Provided, however, that no immovable property of the Council shall be sold without the prior approval of the Government of India.
